2. Scope of Work & Deliverables

3. Commercial Terms & Payment Schedule
Balance Terms: Net 15 days upon live link submission and verified invoice. Applicable TDS under Section 194R or 194C of the Income Tax Act will be deducted with certificate.
4. Key Terms & Operational Guidelines
- Script & Draft Approvals: Creator will share draft/script with Brand prior to filming. Brand has 48 hours to provide constructive feedback. Agreement includes up to 2 rounds of revisions. Additional rounds will be billed at standard hourly rates.
- Exclusivity: During the campaign period and for 30 days post-publish (direct skincare competitors only), Creator agrees not to promote direct competing brands in the specified niche.
- Usage Rights & Whitelisting: Organic social posting on Creator handles + 30 days Brand paid ad whitelisting / Spark Ads. Brand shall not edit, modify, or repurpose content for television or print without separate written consent.
- Regulatory Disclosures (ASCI): In compliance with ASCI Guidelines and the Consumer Protection Act, all sponsored content must feature prominent disclosure labels (e.g., #ad, #collab, or platform "Paid Partnership" tags).
- Cancellation & Kill Fee: 50% kill fee if Brand cancels post-script approval; 100% advance refund if Creator fails to deliver.
- Independent Contractor: Creator acts solely as an independent contractor, not an agent or employee of Brand.
IN WITNESS WHEREOF, the parties hereto have executed this Collaboration Agreement as of the Effective Date.
